須用堅(jiān)固的新木箱包裝,適合長途空運(yùn)/陸運(yùn),防濕、防潮、防震、防銹、耐粗暴搬運(yùn)。由于包裝不良所發(fā)生的損失,由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損、破損,賣方應(yīng)負(fù)擔(dān)由此而產(chǎn)生的一切費(fèi)用和損失。包裝箱內(nèi)應(yīng)包含一整套服務(wù)操作手冊。賣方使用的.木質(zhì)包裝應(yīng)經(jīng)薰蒸處理,并在木質(zhì)包裝表面標(biāo)上清晰的IPPC標(biāo)識。
To be packed in new strong wooden case(s) suitable for long distance air/land transportation and well protected from dampness, moisture, shock, rust and rough handling. The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers, and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). The wood packaging the Seller used shall be fumigated and marked with “IPPC” on the surface of wood packaging.
(12) 嘜頭:SHIPPING MARK:
賣方應(yīng)在每件包裝上,用不褪色油墨清楚地標(biāo)刷件號、尺碼、毛重、凈重、“此端向上”、“小心輕放”、“切勿受潮”等字樣,并刷有下列嘜頭:
On the surface of each package, the package number, measurements, gross weight, net weight, the lifting positions, such cautions as “THIS SIDE UP”, “HANDLE WITH CARE”,“KEEP AWAY FROM MOISTURE” and the following shipping mark:
(13) 付款條件:TERMS OF PAYMENT:
100%的合同金額通過電匯支付。100% contract value by T/T.
買方在合同生效后兩周內(nèi)支付合同金額的100%貨款
The Buyer shall pay 100% advance payment to the Seller within two week after contract effected.
(14) 單據(jù):Documents,
1. 正本空運(yùn)單(收貨人聯(lián)),標(biāo)明“運(yùn)費(fèi)已付”及嘜頭,買方為收貨人及通知方。
Original Airway Bill (copy for Consignee) marked “freight prepaid” and shipping mark, consign to and notify the Buyer.
2. 涵蓋100%合同金額的商業(yè)發(fā)票三正三副,注明合同號、嘜頭。
Commercial invoice covering 100% of contract amount in 3 originals and 3 copies, indicating contract number, shipping mark.
3. 裝箱單三正三副,注明毛、凈重、尺碼和所裝貨物的包裝形式及數(shù)量。
Detailed Packing List in 3 originals and 3 copies indicating both gross and net weights, measurements and packing condition and quantity of each item packed.
4. 賣方出具的質(zhì)量及數(shù)量證書正本三份。
Certificate of quality and quantity issued by seller in 3 originals.
5. 賣方出具的原產(chǎn)地證書一正一副。
Certificate of origin in 1 original and 1 copy issued by Seller.
6. 貨物裝運(yùn)后24小時內(nèi)賣方發(fā)給買方裝運(yùn)通知傳真復(fù)印件一份。
Copy of fax from seller to the buyer advising the particulars of shipment within 24 hours after shipment is made.
7. 保險單或保險證明一正一副,按照合同金額110%投保一切險及戰(zhàn)爭險。
Insurance Policy or Certificate for 110% contract value, covering All Risks and War Risk in 1 original and 1 copy.
8. 賣方聲明外包裝表面標(biāo)有IPPC標(biāo)識證書正本一份, 或賣方出具的非木質(zhì)包裝證明正本
Seller’s Certificate in 1 original certifying IPPC has been marked on surface of the wooden cases / seller’s Certificate certifying no wood package is used in the shipment.
(15) 裝運(yùn)通知:SHIPPING ADVICE:
The Sellers shall fax to the Buyer the Readiness Notification one week before the goods to be shipped.
賣方在發(fā)貨前一周物向買方傳真貨物備妥通知。
The Sellers shall, immediately upon the completion of the loading of the goods in 24 hours, send the Buyers Air Waybill, Invoice and Packing list by fax.
裝運(yùn)通知:賣方應(yīng)在貨物裝運(yùn)完畢后24小時內(nèi)用傳真將空運(yùn)單、發(fā)票和裝箱單發(fā)給買方。
如賣方未按時向買方通知上述裝運(yùn)情況所導(dǎo)致?lián)p失由賣方承擔(dān)。
Losses shall be borne by the Sellers in case the Sellers don’t inform the Buyers of the above shipping status on time.
(16) 質(zhì)量保證:GUARANTEE OF QUALITY:
賣方保證訂貨系用最上等的材料和頭等工藝制成,全新的,未曾使用過的, 并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。賣方并保證本合同訂貨在正確安裝、正常使用和維修的情況下,自安裝之日起十二個月或貨物裝運(yùn)之日起十五個月內(nèi)運(yùn)轉(zhuǎn)良好,以先到期者為準(zhǔn)。由于人為造成的、易損易磨件除外。
The Sellers shall guarantee that for a period of 12 months calculated from the date of installation or 15 months starting from the date of shipment, whichever is the earlier. Faults due to mal-operation as well as wear and tear parts are excluded.
(17) 遲交貨及罰款:LATE DELIVERY AND PENALTY
除合同第16條人力不可抗拒事故外,如賣方不能按合同規(guī)定的時間交貨,買方應(yīng)同意賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除,罰款率按每7天收0.5%,不足7天時以7天計(jì)算。但罰款不得超過遲交貨物總價的5%。如賣方延期交貨超過合同規(guī)定10周時,買方有權(quán)撤消合同,此時,賣方仍應(yīng)不遲延地按上述規(guī)定向買方支付罰款。
買方有權(quán)對因此遭受的其它損失向賣方提出索賠。
Should the Sellers fail to make delivery on time as stipulated in the Contract, with the exception of Force Major causes specified in Clause 16 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery, the rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. The buyer shall have the right to lodge a claim against the seller for the losses sustained if any.
(18) 檢驗(yàn)和索賠: INSPECTION AND CLAIMS:
如發(fā)現(xiàn)貨物的品質(zhì)、數(shù)量/重量與本合同不符, 買方有權(quán)在貨物到達(dá)目的地后60天內(nèi)根據(jù)中華人民共和國出入境檢驗(yàn)檢疫局出具的商檢證書向賣方提出索賠。由承運(yùn)人和保險公司負(fù)責(zé)的賠償除外。
If the quality and/or quantity/weight be found not in conformity with the present contract, the Buyer shall be entitled to lodge claims with the Seller on the basis of the Certificate issued by China Exit and Entrance Inspection and Quarantine Bureau within 60 days after the goods arrival in the destination. With the exception, however, of those claims for which the carrier and/or insurance company are to be held responsible.
(19) 人力不可抗拒事故:FORCE MAJEURE:
由于人力不可抗拒事故,而賣方交貨延遲或不能交貨時,責(zé)任不在賣方,但賣方應(yīng)立即將事故通知買方,并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事故證明書用空郵寄交買方為證,并取得買方認(rèn)可。在上述情況下,賣方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過十個星期買方有權(quán)撤銷本合同。
The Sellers shall not be held responsible for any delay in delivery or non-delivery of the goods duo to Force Majeure. However, the Sellers shall advise the Buyers immediately of such occurrence and within fourteen days thereafter, shall send by airmail to the buyers for their acceptance a certificate issued by the competent government authorities of the place where accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten weeks, the Buyers shall have the right to cancel this Contract.
(20) 仲裁:ARBITRATION:
凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議,應(yīng)由雙方通過友好協(xié)商予以解決,應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會根據(jù)中國國際經(jīng)濟(jì)貿(mào)易仲裁規(guī)則進(jìn)行仲裁,仲裁裁決是終局的,對雙方都有約束力。
All disputes arising from the execution of or in connection with this contract, shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation the case shall then be submitted to China International Economic and Trade Arbitration Commission in Shanghai arbitration in accordance with The Rules of Arbitration of China International Economic & Trade Commission. The award rendered by the said commission shall be final and binding upon both parties.
。21)通知 NOTICE
所有通知用中/英文寫成,按照合同所列地址用傳真/快遞送達(dá)給各方。如果地址有變更,一方應(yīng)在變更后3日內(nèi)書面通知另一方。
All notice shall be written in Chinese or English and served to both parties by fax/courier according to the addresses shown in this contract. If any changes of the addresses occur, one party shall inform the other party of the change of address within 3 days after the change.
(22) 其他 MISCELLANEOUS
本合同一式二份,買方執(zhí)一份,賣方執(zhí)一份,由雙方代表正式簽字蓋章生效。
The present contract is in three copies of the same form, the buyer holds two; the seller holds one. The contract is signed by the authorized representative of both parties and shall become effective upon the formal and mutual signing and stamping of the contract.

第二條 租賃期限
2. TERM OF CONTRACT
2.1 租賃期限:甲乙雙方商定,租賃期限自xx年xx月xx日起至24:00止,共力影響導(dǎo)致的合同終止情形外,任何一方不得破壞租賃期限的完整和連續(xù)。 2.1 CONTRACT PERIOD: After both parties agreed, the term of contract is: stcontract terminated and the force majeure due to the influence of the contract to be terminated, either parties can not destroy the integrity and continuity of the contract.

2.3 續(xù)租:合同期滿后,甲方如繼續(xù)出租該商鋪,則同等條件下,乙方可享有優(yōu)先承租權(quán)。乙方如有意續(xù)租,可于合同期滿前30天向甲方提出,雙方另行協(xié)商,訂立新的租賃合同。

2.4 合同的中止
2.4 CONTRACT TERNIMATION
2.4.1乙方有如下情形之一時,甲方有權(quán)提前中止合同,收回商鋪:
a, 乙方利用該商鋪從事非法活動或損害公共利益的;
b, 乙方拖欠租金超過

第三條 租金及其支付方式和其它費(fèi)用
3. RENTAL, MODE OF PAYMENT AND OTHER CHARGES
3.1 年租金總額:甲乙雙方商定,租賃期內(nèi)該商鋪的年租金為¥________(大寫:人民幣_____________________圓整),合同期限內(nèi)無浮動。

第四條 招牌設(shè)置
4. SHOP SIGN SETTING
甲方同意乙方在符合國家法律、法規(guī)、政府規(guī)章和規(guī)范性文件的前提下,在租賃商鋪的室內(nèi)外安裝設(shè)置帶有其公司標(biāo)志的招牌等廣告裝置(例如帶照明的透明廣告燈箱、立牌和戶外廣告招牌等),并協(xié)助乙方做好跟物業(yè)裝修申請、施工以及廣告設(shè)置的交涉工作。
Part A agreed Part B set the shop signs and other advertising equipments with company logo(such as: illuminating transparent advertising lamp box, erect signs and outside advertising signs, etc.) in outside of the shop comply with the state laws, regulations, government regulations and normative documents, and Part A have the obligations to assist Part B to apply to the property management company, construction and other signs setting works needed negotiate with other parties.
第五條 雙方的責(zé)任和權(quán)利
5. OBLIGATIONS AND RIGHTS
5.1 甲方的責(zé)任和權(quán)利
5.1 OBLIGATIONS AND RIGHTS OF PART A
a,甲方應(yīng)保證所出租的商鋪及配套設(shè)施在交付乙方使用時完好并能夠正常使用;
a, Part A have the obligation to issue the shop and supporting equipments condition is good and can be use normally;
b,按公共契約負(fù)責(zé)商鋪結(jié)構(gòu)維修和保養(yǎng),凡遇政府部門要求需對商鋪或配套設(shè)施進(jìn)行改造時,相關(guān)費(fèi)用由甲方負(fù)責(zé);
b, Part A have the obligation to repair and maintenance the shop structures, in every case of government requests reconstruct shop or supporting equipments, Part A pay all the charges;
c,負(fù)責(zé)協(xié)調(diào)本地區(qū)各有關(guān)部門的關(guān)系,并為乙方辦理營業(yè)執(zhí)照提供有效的房產(chǎn)證明及相關(guān)手續(xù);
c, Part A have the obligation to coordinate the relationships with all the departments in the shop located district, and offer the valid property ownership certificate and other document be relate to Part B apply the business license;
d, 不得以任何理由占用乙方所租門面及其附屬設(shè)施,如門面前面的空地等。
d, Part A can not occupy the shop and equipments which the Part B with any reason, such as the empty land outside of the shop.
5.2 乙方的責(zé)任和權(quán)利
a,合同有效期內(nèi),乙方對所租賃的商鋪及配套設(shè)施擁有合法使用權(quán);
a, Part B have the legal right to use the rented shop and supporting equipments during the rent period;
b,乙方應(yīng)遵守國家法律,法規(guī),依法經(jīng)營;
b, Part B have the obligations to do business as the state law,regulations;
c,乙方不得在租賃的商鋪內(nèi)貯存危險、違禁物品;
c, Part B can not store the dangers, prohibited goods in the shop;
d,乙方必須依約繳納租金及其他因經(jīng)營產(chǎn)生的費(fèi)用,不得無故拖欠;
d, Part B have the obligations to pay rental and other charges cause business on time, can not arrears without reason;
e,乙方在承租的商鋪內(nèi)需要安裝或者使用超過水、電表容量的任何水電設(shè)備,應(yīng)事前征得甲方同意,并由乙方負(fù)責(zé)到有關(guān)部門辦理增容手續(xù),費(fèi)用由
乙方負(fù)擔(dān);
e, Part B have the obligation to get the authorization from Part A when install the equipments’ value over the limited of the water and electricmeters’ value, Part B also have obligation to make the application to the related department and pay all the charges;
e,租賃期滿或者解除合同時,所屬乙方的財物,均由乙方自行處理,甲方不得以任何理由進(jìn)行任何形式的干涉;

第六條 出租方和承租方的變更
6. PARTIES CHANGE
6.1 產(chǎn)權(quán)人與承租人:合同期內(nèi),甲方和乙方中任何一方法定代表人(或產(chǎn)權(quán)人)變更、企業(yè)遷址、合并,不影響本合同繼續(xù)履行。變更、合并后的'一方即成為本合同當(dāng)然執(zhí)行人,并承擔(dān)本合同的內(nèi)容之權(quán)利和義務(wù);

6.2 轉(zhuǎn)租:合同期內(nèi),乙方如欲將租賃的商鋪轉(zhuǎn)租給第三方時,必須事先征得甲方同意,并由三方書面確認(rèn),取得使用權(quán)的第三方成為本合同的當(dāng)然乙方,繼續(xù)履行本合同;
6.2 SUBLEASE: During contract period, if Part B want sublet the shop to other parties, should consent by Part A and get the written confirm, the party who get the using rights, will be the Part B, continue perform this contract;
6.3 甲方欲出售房屋,必須在三個月前書面通知乙方,并且要保證租賃期限的完整。

第七條 違約及處理
7. DEFAULT AND DISPOSE
7.1 任何一方未能履行本合同規(guī)定的條款的,均視為違約;

7.2若乙方違約,甲方有權(quán)提前解除合同,并無需退還已繳納的房屋租金;

7.3若甲方違約,乙方有權(quán)提前解除合同,且甲方必須雙倍退還乙方已繳納但未完成使用期限的全部租金,并賠償乙方裝修費(fèi)。裝修費(fèi)賠償標(biāo)準(zhǔn):若第一年內(nèi)違約,賠償全部裝修款(100%),以實(shí)際裝修情況計(jì)算;若第二年違約。賠償裝修款的70%,以實(shí)際裝修情況計(jì)算;若第三年違約,賠償裝修款的50%,以實(shí)際裝修情況計(jì)算;

第八條 合同生效及糾紛處理

十一、甲方的權(quán)利義務(wù):
Party A‘S RIGHTS AND RESPONSIBILITES:
11.1甲方在本租賃合同規(guī)定的期限內(nèi)將房屋交付乙方。
Party A shall deliver the Premises to Party B within the term specified herein.
11.2甲方保證是房屋的合法權(quán)利人,有充分的權(quán)利出租房屋。
Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.
11.3甲方的權(quán)利保留Party A may reserve the following rights.
11.3.1 使用公共設(shè)施;to use the public facilities;
11.3.2 進(jìn)入房屋內(nèi)對公共設(shè)施進(jìn)行檢查和維修。甲方行使該項(xiàng)權(quán)利時,應(yīng)提前通知乙方,緊急情況除外。

To repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.
11.4 甲方應(yīng)協(xié)助提供乙方提供辦理工商營業(yè)執(zhí)照所需相關(guān)證明文件。
Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.
11.5甲方在承租期內(nèi)促使物業(yè)管理機(jī)構(gòu)提供水、電、空調(diào)、供暖及日常房屋維修。
Party A shall procure the Management Department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.
11.6 如在租賃期屆滿前兩個月,乙方未提出續(xù)租請求,或者雖然提出續(xù)租請求,但雙方在三十天內(nèi)未就續(xù)租合同條款達(dá)成一致,甲方有權(quán)在工作時間帶領(lǐng)其他租戶進(jìn)入房屋查看。
If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement, or if Party B submits such application but the parties fail to reach agreement on the renewal, Party A shall have the right to enter the Premises with other tenant at work hours to review.
十二、乙方的權(quán)利和義務(wù)
Party B‘S RIGHTS AND RESPONSIBILITES:
12.1 自行負(fù)責(zé)房屋的裝修和設(shè)施。
Party B shall be responsible for the decoration and facilities of the Premises.
除非經(jīng)消防局及甲方同意,乙方不得對房屋的主要結(jié)構(gòu)及裝置(包括噴淋頭)作任何變動、拆除或調(diào)整。如乙方擅自做任何變動,應(yīng)負(fù)責(zé)將其恢復(fù)原狀并承擔(dān)一切費(fèi)用和相關(guān)責(zé)任。
Party B shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.
12.2乙方應(yīng)根據(jù)本合同第六、七、八條的規(guī)定按時繳納租金及各項(xiàng)相關(guān)費(fèi)用。
Party B shall pay the rent and other fees pursuant to Clauses 6, 7, and 8 on time.
12.3乙方應(yīng)按本合同的規(guī)定合理使用房屋,并保持房屋的清潔。
Party B shall reasonably use the Premises as provided hereunder and keep it clean.
12.4未得到甲方及大廈管理機(jī)構(gòu)的事先同意,乙方不得在窗外、外墻、
公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放置任何廣告、標(biāo)識、招貼或其它資料。
Party B shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of Party A and Management Department.
12.5 乙方在承租期內(nèi)不得將全部或部分房屋轉(zhuǎn)租、分租或借予第三方。
During the lease term , Party B shall not sub-let or assign the lease to any third party.
12.6 乙方在其經(jīng)營活動中,不得宣稱或令顧客誤認(rèn)為其與甲方關(guān)系屬合作、合營、合伙、聯(lián)營或關(guān)聯(lián)企業(yè)關(guān)系。
Party B shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with Party A during its operation.
12.7乙方應(yīng)自行獲取依據(jù)法律法規(guī)和政府有關(guān)部門規(guī)定應(yīng)具備的所有許可、批準(zhǔn)和證照,保證其營業(yè)活動的合法性。
Party B shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.
12.8乙方應(yīng)自行承擔(dān)由于乙方工商注冊、稅務(wù)登記、遷址等行為所產(chǎn)生的稅、費(fèi)。
Party B shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.
12.9對于第三方因乙方對其造成或在房屋內(nèi)發(fā)生的人身傷害或經(jīng)濟(jì)損失而提出的索賠,乙方應(yīng)自行負(fù)責(zé)并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失,乙方保證進(jìn)行賠償。
Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.
12.10乙方不得在房屋內(nèi)放置易燃、易爆的物品其他危險物品。
Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.
12.11乙方應(yīng)嚴(yán)格遵守甲方和/或大廈物業(yè)管理機(jī)構(gòu)制定并不時修改的大廈所有管理規(guī)定。
Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.
12.12 乙方不得在房屋內(nèi)從事任何違法活動。
Party B shall not carry out any illegal activity in the Premises.
12.13乙方不得將房屋用于除辦公以外的用途。
Party B shall not use the Premises for any purpose other than as office.
12.14若乙方以租賃房屋作為其公司注冊地址時,乙方應(yīng)在租賃合同終止后15日內(nèi)辦理地址注銷登記手續(xù),乙方逾期辦理的,應(yīng)每日按月租金千分之三的標(biāo)準(zhǔn)向甲方支付滯納金,造成甲方損失的,應(yīng)予以賠償。
If the Premises is used as company‘s registered address of Party B, Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time , it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.
十三、違約責(zé)任與合同終止
BREACH AND TERMINATION
13.1違約
任何一方違反合同給另一方造成損失的,應(yīng)當(dāng)進(jìn)行賠償。
If a party is in breach of this Lease Agreement, it shall compensate the other party for any losses cause by its breach.
13.2在下列任何情況下,本合同終止
This Lease Agreement will be terminated under any of the following conditions:
13.2.1租賃期限屆滿:
The expiration of this Lease Agreement
13.2.2 當(dāng)一方違反本合同中任何規(guī)定,并且另一方書面通知要求其予以糾正的三十(30)日內(nèi)未能糾正違約行為或者如果該違約是無法糾正的,守約方有權(quán)立即終止本合同。
by one of the Parties, with immediate effect, when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;
13.2.3甲方可以提前六十(60)天的書面通知提前終止本合同,但應(yīng)雙倍返還乙方保證金。
Party A may terminate this Lease Agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.
13.2.4如乙方延期支付租金和/或其他各項(xiàng)款項(xiàng)超過十(10)日,甲方有權(quán)解除合同,保證金不予退還。乙方除應(yīng)支付延期款項(xiàng)外,還應(yīng)支付逾期付款違約金,數(shù)額延期支付金額的0.5%/日,直至乙方全額付清為止。
If Party B delays the payment of rent and/or other amounts for ten (10) days, Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.
13.2.5 如乙方不遵守大廈管理規(guī)定并嚴(yán)重影響其他租戶正常經(jīng)營,甲方可以書面通知乙方提前終止本合同,并且保證金不予返還。
If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.
13.2.6 如乙方在房屋內(nèi)從事任何違法活動或未按照辦公用途使用房屋,甲方有權(quán)立即書面通知乙方提前終止本合同,保證金不予返還。
If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.7 如乙方將房屋分租或轉(zhuǎn)租第三方,甲方有權(quán)以書面通知立即終止合同,并且保證金不返還。
If Party B sublets or assigns the lease to a third party, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.8 不可抗力Force Majeure
一方因不可抗力事件連續(xù)六十天(60)不能履行義務(wù),任何一方可以書面通知終止本合同,在不可抗力的影響范圍內(nèi)受影響的一方不承擔(dān)違約責(zé)任!安豢煽沽Α卑ㄗ匀粸(zāi)害、爆炸、飛行物體墜落、政府行為(但專門針對受影響一方的行政行為除外)等受影響的一方不能預(yù)見、不能控制并且不可避免的事件。雙方在此明確但商業(yè)性風(fēng)險不應(yīng)作為不可抗力。受影響的'一方應(yīng)在不可抗力事件發(fā)生后的五(5)日內(nèi)書面通知對方,并且應(yīng)附有有權(quán)機(jī)構(gòu)出具的不可抗力發(fā)生的證明。
Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action (except those specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.
13.2.9一方進(jìn)入破產(chǎn)、清算、解散或任何類似程序,另一方可以終止本合同,但以善意管理費(fèi)用或合并為目的的除外。
One party may terminate this Lease Agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.
13. 3 合同終止的后果 The result of the termination
13.3.1 如本合同屆滿并且未由乙方續(xù)租,乙方須于屆滿之日的17點(diǎn)之前騰空房屋;如本合同因任何原因提前終止,乙方應(yīng)于終止日后的三日內(nèi)騰空房屋。如乙方未能在此期間騰空房屋,由乙方應(yīng)按日支付房租,逾期十日以上(包括十日),乙方應(yīng)按雙倍房租支付。如因此給甲方造成經(jīng)濟(jì)損失(包括因未能向下一租戶及時交付房屋而導(dǎo)致的違約金和租金收入),還應(yīng)賠償損失。
If this Lease Agreement is expired without the renewal of Party B, Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason, Party B shall vacant the Premises within three (3) days after the termination date. If Party B fails to vacant the Premises within the aforesaid period, it shall pay rent for each day of delay. If the delay is over ten (10) day (inclusive), Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss, Party B shall compensate such loss.
13.3.2乙方還應(yīng)拆除裝修和清理房屋(甲方同意保留裝修的除外),以甲方交付之時的狀態(tài)或雙方共同認(rèn)可的狀態(tài)將房屋交還甲方(正常損耗除外)歸還房屋時留在房屋內(nèi)的所有設(shè)施、裝修及物品均視為乙方放棄所有權(quán),甲方可隨意處置。如乙方未將房屋恢復(fù)原狀,甲方可自行恢復(fù)原狀,乙方需支付全部費(fèi)用,可由甲方從保證金中扣除。
Party B shall also dismantle the decoration (Except for the decoration that Party A agrees to retain)and clean the Premises so that the Premises will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is excepted) Party B shall be deemed waiving the title of all facilities, decoration and staff left the Premises when the Premises is returned to Party A and Party A may dispose them in any way. If Party B fails to restore the Premises to the condition of delivery, Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof, which may be deducted from the deposit by Party A.
13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規(guī)定的情況以外,甲方應(yīng)將保證金返還乙方。
Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.
13.3.4 乙方應(yīng)支付全部應(yīng)付費(fèi)用,包括房租、水電費(fèi)、電話費(fèi)等。
Party B shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.
13.3.5 雙方應(yīng)按下列程序進(jìn)行交接房屋。
The parties shall take over the Premises in accordance with the following procedure.
十四、附則
14.1 爭議的解決 Dispute Resolution
因執(zhí)行本合同或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決。協(xié)商不成的,則任何一方有權(quán)將爭議提交北京仲裁委員會仲裁裁決。仲裁程序應(yīng)遵照仲裁委員會的現(xiàn)行仲裁規(guī)則進(jìn)行。仲裁期間,雙方應(yīng)繼續(xù)執(zhí)行本合同不涉及爭議的部分。
Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations, such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration, the Parties shall continue to perform the part of this Lease Agreement not under dispute.
14.2 合同的修改The amendment of this Lease Agreement
對本合同只可通過雙方書面修改。
This Lease Agreement may be changed only by a written instrument signed by parties.
14.3 可分性 Severability
本合同任何條款無效,不影響其他條款的效力。
The invalidity of any part of this Lease Agreement shall not affect the validity of other clauses.
14.4 文字
本合同以中文簽署。英文文本只做參考,不具有法律效力。
This Lease Agreement shall be wrote in Chinese. The English version is only for reference without legal effect.
14.5 全部協(xié)議 Entire Agreement
本合同有其附件構(gòu)成雙方之間就本合同所涉事項(xiàng)達(dá)成的全部協(xié)議,取代雙方此前就合同事項(xiàng)達(dá)成的所有口頭和書面協(xié)議。
This Lease Agreement constitutes the entire contract between the Parties with respect to the subject matter of this Lease Agreement and supersedes all prior understandings between them on such subject matter.
14.6 通知 Notice
任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應(yīng)以中文書寫并應(yīng)通過專人送遞或掛號郵寄或以公認(rèn)的快遞服務(wù)或以傳真(應(yīng)當(dāng)有發(fā)送成功的報告)發(fā)送至另一方的下述地址。通知視為有效送達(dá)的日期按以下方法予以確定:
Any notice provided for in this Lease Agreement shall be in Chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party‘s following address. The notice shall be deemed served on the following date:
14.6.1專人投遞的通知,視為于投遞之日送達(dá);
On the date of delivery if send by person;
14.6.2 以掛號郵寄的通知,視為于投郵日(郵戳日期)后第十(10)天送達(dá);
On 10th day after stamp on the registered mail if send by Registered mail;
14.6.3快遞送達(dá)的通知,視為公認(rèn)的快遞服務(wù)機(jī)構(gòu)發(fā)出后第三(3)天送達(dá);On third day after the pick up by the courier if send by courier;
14.6.4 傳真發(fā)送的能知,應(yīng)視作于發(fā)送日后下一(1)個營業(yè)日送達(dá)。
If send by facsimile, on the next working day after the transmission date.
14.6.5如任何一方更改以上地址,需提前三十(30) 天書面通知另一方,該更改方生效。
If either party wishes to change the above addresses, it shall notify the other party of such change thirty (30) days in advance in order that such change will be effective.
