  1.Assignor hereby irrevocably assigns,conveys and otherwise transfers to Devco,and its respective successors,licensees,and assignees,all right,title and interest worldwide in and to the Work and all proprietary rights therein,including,without limitation,all copyrights,trademarks,design patents,trade secret rights,moral rights,and all contract and licensing rights,and all claims and causes of action in respect to any of the foregoing,whether now known or hereafter to become known.In the event Assignor has any right in the Work which cannot be assigned,Assignor agrees to waive enforcement worldwide of such right against Devco,its distributors,and customers or,if necessary,exclusively license such right worldwide to Devco,with the right to sublicense.These rights are assignable by Devco.

  2.Assignor represents and warrants that a)the Work was created solely by Assignor,Assignor's full-time employees during the course of their employment,or independent contractors who assigned all right,title and interest in their work to Assignor;(b)Assignor is the owner of all right,title and interest in the tangible forms of the Work and all intellectual property rights protecting them;(c)the Work and the intellectual property rights protecting them are free and clear of all encumbrances,including,without limitation,security interests,licenses,liens,Charges or other restrictions;(d)the use,reproduction,distribution,or modification of the Work does not and will not violate the rights of any third parties in the Work including,but not limited to,trade secrets,publicity,privacy,copyrights,and patents;(e)the Work is not in the public domain;and(f)Assignor has full power and authority to make and enter into this Contract.Assignor agrees to defend,indemnify,and hold harmless Devco,its officers,directors and employees for any claims,suits or proceedings alleging a breach of these warranties.

  第一條 借款金額 Article 1 Amount of Loan

  第二條 借款用途Article 2 Scope for Use

  本合同所約定的貸款僅用于借款方生產(chǎn)銷售砂石品業(yè)務(wù),不得挪作它用。

  The loan hereof is only for Borrower‘s Stone Business and shall not be appropriated for other use.

  第三條 利率及還款期Article 3 Interest and Term Repayment

  1. 如果借款方在合同約定的還期限內(nèi)還清借款,貸款方則不收取借款利息。

  The Lender agrees that no interest will be payable on the Loan for the term of the loan while the Borrower is not in default of repayment.

  2. 借款方應(yīng)按照以下還款期向貸款方償還借款:

  The Borrower agrees to repay the Loan to the Lender in accordance with the following repayment schedule:

  在本合同簽訂之日起十二個月內(nèi)償還借款 美元;

  Repayment due on or before the date 12 months from the date of this agreement.

  3. 借款方應(yīng)根據(jù)貸款方合理要求的時間、場所和方式還款。

  All repayments shall be made at the time and place and in the manner reasonably required by the Lender.

  第四條 管理費(fèi)用Article 4 Management Fee

  1.借款方同意在借款期內(nèi),向貸款方支付管理費(fèi)用,管理費(fèi)用的金額為借款方砂石品業(yè)務(wù)銷售總額1.4%.

  The Borrower agrees to pay to the Lender a sum equivalent to 1.4% of the total income received by the Borrower, from the sales turnover of the Stone Business, during the term of the loan.

  2. 借款方同意按第4.3條約定自每一財(cái)務(wù)季度結(jié)束之日起三十日內(nèi)向貸款方支付管理費(fèi)用,付款時間表如下:

  Subject to clause 4.3 the Borrower agrees to pay the Management Fee to the Lender in arrears on or before the date 30 days following the end of the previous financial quarter in accordance with the following payment schedule:

  每年一月一日至三月三十一日期間的管理費(fèi)用;

  Management Fee calculated for the period 1 January – 31 March each year.

  每年四月一日至六月三十日期間的管理費(fèi)用;

  Management Fee calculated for the period 1 April – 30 June each year.

  每年七月一日至九月三十日期間的管理費(fèi)用;

  Management fee calculated for the period 1 July – 30 September each year.

  每年十月一日至十二月三十一日期間的管理費(fèi)用。

  Management Fee calculated for the period 1 October – 31 December each year.

  3.本合同簽訂之日起的首個季度管理費(fèi)用自20xx年 月 日起正式開始計(jì)算。

  Management Fee due in respect of the financial quarter within which the date of this agreement falls will only become due on the date of 20xx.

  4. 如果借款方在本合同簽訂之日起兩年內(nèi)提前還清借款280,000美元,借款方支付管理費(fèi)用的義務(wù)自合同簽訂之日起兩年后終止。

  In case the Borrower repays the loan US$280,000 within 2 years from the date of this agreement then the obligation to pay the Management fee will cease at the end of the 2 year period.

  第五條 浮動抵押 Article 5 Floating Mortgage

  1. 借款方以其現(xiàn)有的和將來擁有的生產(chǎn)設(shè)備、原材料、成品和半成品向貸款方提供抵押。

  The Borrower agrees to Mortgage to the Lender all equipments, raw materials, finished and unfinished goods owned now and in the future by the Borrower.

  2.《抵押物清單》對抵押物價值的約定,并不作為貸款方依本合同對抵押物進(jìn)行處分的估價依據(jù),也不構(gòu)成貸款方行使抵押權(quán)的任何限制。

  The value of the Mortgaged properties stipulated in the shall neither be deemed as the price of sale nor as any limit on the Mortgagee‘s right, while the Lender exercises its right.

  3. 抵押物的相關(guān)有效證明和資料由當(dāng)事人確認(rèn)封存后,由借款方交與貸款方保管,但法律法規(guī)另有規(guī)定的除外。

  Subject to any the laws and regulations, any information and certifications in respect of the Mortgaged properties shall be handed over by the Borrower to the Lender after sealed.

  4. 浮動抵押擔(dān)保的范圍為本金、利息、管理費(fèi)、違約金、賠償金以及實(shí)現(xiàn)債權(quán)所發(fā)生的一切費(fèi)用,包括但不限于訴訟費(fèi)、公證費(fèi)、仲裁費(fèi)、律師費(fèi)、財(cái)產(chǎn)保全費(fèi)、差旅費(fèi)、執(zhí)行費(fèi)、評估費(fèi)、拍賣費(fèi)等。

  The floating Mortgage hereof secures the principal, interests, management fees, compensation, and any other cost arising from the enforcement of the Lender‘s right pursuant to this Contract, including but without limitation court fee, cost for notarization, arbitration fee, attorney fee, fee for custody, traveling expense, compulsory execution fee, assessment fee and auction fee.

  5. 借款方應(yīng)自本合同簽訂之日起三十日內(nèi)向有關(guān)部門辦理本合同的審批、備案和登記等事宜,所產(chǎn)生的費(fèi)用由借款方承擔(dān)。

  The Borrower shall apply for administrative approval, record-keeping and registration on its own fee in thirty days from the signing of this Contract.

  6. 借款方應(yīng)當(dāng)合理使用和妥善保管抵押物,如抵押物的價值比本合同簽訂時的評估價減少15%以上的,借款方應(yīng)當(dāng)在三日內(nèi)通知貸款方。貸款方有權(quán)要求借款方繼續(xù)提供相應(yīng)擔(dān);蛘咛崆斑款。

  The Borrower shall use and keep the Mortgaged properties in a reasonable manner, in case the value of the Mortgaged properties have been reduced by 15% from the agreed value at the date of signing this Contract, the Borrower shall inform the Lender. The Lender is entitled to require the Borrower for appropriate securities or for repayment immediately.

  7. 貸款方在借款方發(fā)生以下情形之一時,可以行使抵押權(quán):

  The Lender is entitled to exercise its Mortgagee‘s right, in the following cases:

  (1)借款方違反本合同所約定的義務(wù);

  The Borrower is in default of its obligation hereof;

 。2)經(jīng)營情況嚴(yán)重惡化、減少注冊資本;

  The Borrower‘s business has seriously deteriorated or reduced the registered capital.

 。3)借款方分立、合并; The Borrower is to be or has been divided or merged;

  (4)借款方涉及重大糾紛訴訟,涉案標(biāo)的30萬元人民幣以上;

  The Borrower is involved in an important litigation or any other dispute of which the amount is above 300,000RMB.

 。5)借款方破產(chǎn)、歇業(yè)、解散、被停業(yè)整頓、被吊銷營業(yè)執(zhí)照;

  The borrower risks to bankruptcy or goes bankrupt, closes out, dissolves, has been asked to suspend business to raise standards or has its license revoked;

 。6)借款方住所或法定代表人發(fā)生變更;

  The business place or the legal representative has been changed;

 。7)其他因借款方原因可能導(dǎo)致貸款方擁有抵押權(quán)無法實(shí)現(xiàn)的情形。

  The Lender could not enforce the Mortgagee‘s right because of any other event due to the Borrower.

  借款方發(fā)生或很可能發(fā)生以上情形之一的,貸款方書面通知借款方之日為浮動抵押財(cái)產(chǎn)確定之日。若借款方不簽收通知回執(zhí)的,貸款方有權(quán)按本合同第十四條所示方法通知,視為乙方已經(jīng)收到。

  If any case above said occurs or more than likely to occur, the floating Mortgage converts into being fixed Mortgage at the date of notice sent by the Lender. If the Borrower refuses to sign receipt, it is deemed to have received the notice sent by the Lender in according article 14.

  第六條 陳述與保證Article 6 Presentations and Warranties

  借款方在此陳述并保證以下事項(xiàng)屬實(shí),否則承擔(dān)欺詐的法律責(zé)任:

  The Borrower hereby presents and warrants all the following facts, otherwise it shall be liable for fraud.

  1.借款方是本合同項(xiàng)下抵押財(cái)產(chǎn)完全的、有效的、合法的所有者;該抵押財(cái)產(chǎn)不存在權(quán)屬方面的爭議。

  The Borrower has the entire, valid and legal ownership of the Mortgaged properties without any dispute or claim.

  2. 本合同項(xiàng)下抵押財(cái)產(chǎn)不存在瑕疵。

  No defect on the Mortgaged properties.

  3. 本合同項(xiàng)下的抵押財(cái)產(chǎn)依法可以設(shè)定抵押,設(shè)立本合同的抵押不會受到任何限制。

  The Mortgaged properties are legally available for Mortgage without any limitation.

  4. 本合同項(xiàng)下的抵押財(cái)產(chǎn)未被依法查封、扣押。

  Pay any dividend in respect of its profits to its shareholders;

  Not acquire an aggregate of more than US$25,000 worth of plant or equipment in a calendar quarter;

  Remortgage, reMortgage, rent or give the Mortgaged properties to any other person;

  第七條 經(jīng)銷Article 7 Distribution

  借款方同意貸款方在本合同約定的條件下,在世界范圍內(nèi)銷售借款方生產(chǎn)的噴砂和拋光研磨纖維石產(chǎn)品(“砂石產(chǎn)品”)

  The Borrower agrees that the Lender may distribute the “spray-stone” and “super-stone” products (“Stone Products”) anywhere in the world and on whatever terms it sees fit for the term of this agreement.

  在本合同訂立之日至20xx年12月31日期間,借款方向貸款方出售砂石產(chǎn)品的價格不高于當(dāng)次交易時最近三個月借款方出售砂石產(chǎn)品的最低價格。

  The Borrower agrees that from the date of this agreement until 31 December 20xx it will sell the Stone Products to the Lender at a price no higher than the lowest price for which it sold the Stone Products in the immediately preceding 3 month period.

  The rights conferred by this clause are non-exclusive.

  The Lender agrees that it will not prior to 31 December 20xx sell the Stone Products to any existing customer of the Borrower at the time of this agreement. Only those customers of the Borrower confirmed in writing by the Parties hereof at the time of this agreement have the binding effect.

  第八條 監(jiān)督檢查Article 8 Supervision

  貸款方和保證人有權(quán)檢查貸款使用情況。檢查時,借款方對調(diào)閱有關(guān)文件、賬冊和記賬憑證,查核物資庫存,生產(chǎn)情況以及其它與借款人的清償能力有關(guān)的信息,必須給予方便。

  The Lender and the Surety have the right to supervise the use of loan. The Borrower shall provide all kinds of facility to the Lender and Surety to check the relevant documents, accounting books, accounting vouchers, inventory, production and any other information relating to the solvency of the Borrower.

  第九條 違約責(zé)任Article 9 Liability

  1. 借款方不按合同規(guī)定的用途使用借款,貸款方有權(quán)提前收回全部貸款,對違約使用的部分,收取12%/年的利息。

  1. As if the Borrower appropriates the loan from use stipulated herein, the Lender is entitled to get back the entire loan immediately and to claim for interests on the amount of loan appropriated at the rate of 12%/year.

  2.借款方如逾期不還借款,貸款方有權(quán)追回借款,并按0.05%每天加收罰息。

  As if the Borrower fails the repay the loan in time, the Lender is entitled to get back the entire loan immediately and to claim for delayed repayment interest at the rate of 0.05% per day.

  第十條 法律適用Article 10 Governing Law

  本借款合同的效力、履行、變更、終止和解釋均適用 有關(guān)法律法規(guī)。

  The validity,performance, modification, termination and interpretation of this Contract are governed by law.

  第十一條 爭議解決Article 11 Dispute Resolution

  對本合同的效力、履行、變更、終止或解釋發(fā)生爭議,由當(dāng)事人雙方協(xié)商解決。協(xié)商不成,雙方同意向有管轄權(quán)的人民法院起訴。

  Any dispute arising from the validity,performance, modification,termination or interpretation of this Contract, may be settled by negotiation. If an agreement could not be reached, then both Parties agree to submit the dispute to the court which has the jurisdiction over the matter.

  With the development of its business, Party A would like to invite Party B’s lawyer to assume the post of the former’s permanent Legal Counsel (“PLC”). Party A and Party B have entered into the following agreement (“Agreement”) to be observed by both contractual parties.

  - to go through the legal procedures / formalities of ventures’ establishments, alterations or cancellations / nullifications and other related legal affairs

  - to participate in liquidation affairs on the ventures’ dissolution or bankruptcy / insolvency

  - to furnish agency for legal affairs on matters of insurance & taxation

  - to provide legal service / assistance for bid invitations & tender offers of construction projects - to go through the formalities of Customs declarations or to apply for import /export licenses or

  to participate in anti-dumping investigations

  - to handle legal affairs in real estate transactions, including the legal affairs on the grant or transfer of land-use-right

  - to go through the formalities / procedures in the matters of notarial acts or successions, transfers & trust of properties

  - to furnish agency for the applications, registrations and filing of industrial property rights

  - to deal with / handle the legal affairs on international loan / credit arrangements

  & international contracts of tenancy, including the legal affairs on FX regulation

  - to act as agent of ventures for their administrative appeals or mediations

  - to undertake extra-judicial legal affairs authorized / entrusted by lawyers outside the country - to undertake other extra-judicial legal affairs

  * The PLC is obliged to visit Party A’s office at least once a month. With respect to the

  above-mentioned services, Party A may contact the PLC from time to time by telephone, fax or e-mail. In case Party A would like to meet with the PLC in person, an appointment should be made 24 hours prior to such meeting and such meeting generally shall be held at Party B’s office;

  * The total length of working time of the fore-mentioned services (extra-judicial legal affairs only;

  same hereinafter) shall be not more than hours. During the term of validity of this

  engagement, any agency / advocacy in lawsuits or arbitrations by the PLC or any over-time service from the PLC should be initiated through Party A’s additional trust formalities to Party B and be charged favorably at 20% discount based on the state regulations governing counsel fee or Party B’s Charging Clauses & payment conditions, whichever is applicable.

  II.

  Upon receipt of full cash payment or remittance of the PLC annual fee, Party B shall commence performing its duties & obligations under Article I of this Agreement. In case party A fails to pay or to pay the full amount, Party B is entitled to terminate the Agreement and correspondingly claim damages arising from Party A’s default.

  The incidental expenses should be paid up together with the PLC annual fee, fromwhich the PLC shall take responsibility for surplus or deficit. The PLC is also entitled to request reimbursement with vouchers/invoices for out-city traveling expenses arising from the PLC’s handling of matters entrusted or engaged by Party A .

  III. Party A is obliged to offer Party B true statements/descriptions of facts necessary for the PLC to

  perform its contractual duties & obligations and to provide relevant documents, materials & other essential assistance upon Party B’s request. The legal liabilities incurred from Party A’s misrepresentations, falsifications or other negligent acts shall be undertaken by Party A itself. Party A is also obliged to indemnify Party B for the claims/damages/losses arising from Party A’s fore-mentioned negligent acts. In such a case, Party B is concurrently entitled to terminate the Agreement and the PLC annual fee paid under the Agreement by Party A shall not be reimbursed.

  IV. The PLC is obliged to perform earnestly its duties & obligations within the scope of Party A’s

  authorizations and state legal provisions. In case Party B terminates the Agreement without valid causes or Party A’s lawful rights/interests is prejudiced owing to the PLC’s negligent acts, the PLC annual fee shall be reimbursed in full to Party A.

  V. Any transfer of or modification to the Agreement shall not be permitted without prior mutual written

  consent between Party A and Party B.

  VI. In case the term of validity of the engagement of PLC expires, the Agreement shall automatically

  extend for another one-year term unless a written notification of termination is issued by either party and the PLC annual fee shall thereupon be increased by 5% while other clauses shall remain unchanged, and so on and so forth.

  VII. The construe, interpretation & jurisdiction of the Agreement is subject to the law of the PRC. Any and

  all dispute(s) in connection with or arising from the performance of the Agreement shall first be settled amicably through friendly consultations & negotiations between Party A and Party B. If this fails, the said dispute shall then be submitted to the Xiamen Arbitration Commission for a final finding.

  Party A shall defray Party B a PLC annual fee of and incidental expenses of RMBfor telecommunications, mails, typing/duplicating of documents, city transportation, etc., totally

  雇傭工人、代理、執(zhí)照持有者或被邀請人等(統(tǒng)稱與乙方相關(guān)的人)的粗心及疏忽造成的房屋的損害或損失,并允許甲方或其代理人在事先通知后進(jìn)入房屋,對房屋的損失或損害進(jìn)行彌補(bǔ)及修復(fù),在此所發(fā)生的費(fèi)用由乙方負(fù)擔(dān)。

  To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.

  7.6 在甲方預(yù)先通知后,乙方應(yīng)允許甲方或其代理人在有理由的情況下在合

  理的時間進(jìn)入及巡視房屋進(jìn)行必要的維修或修復(fù)工作;在租賃期最后一個月內(nèi),允許甲方或其代理人帶領(lǐng)有意租賃或購買房屋的客人視察房屋,但乙方已按第2.2條書面通知甲方將續(xù)租時除外。

  With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done. During the last one months of the Tenancy, Party A has the right to show the

  leased property to prospective lessors or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.

  7.7 在未經(jīng)甲方書面同意下,乙方不得擅自設(shè)立、安裝或移動設(shè)施及設(shè)備,

  不能擅自設(shè)立隔段,不得擅自對房屋的結(jié)構(gòu)機(jī)關(guān)改動或增加。

  Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

  7.8 租賃房屋過程中,必須嚴(yán)格遵守中華人民共和國的有關(guān)法律、細(xì)則、規(guī)

  章及法令的規(guī)定,并嚴(yán)格禁止乙方利用房屋進(jìn)行違犯法律及不道德的行為。

  Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.

  7.9 房屋除供乙方居住之外,未經(jīng)甲方書面同意,房屋不可作辦公或協(xié)議未

  曾說明之用。上述同意不應(yīng)不合理地拒絕。

  To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.

  7.10 未經(jīng)甲方書面同意,屋外不得擅自放置標(biāo)示板及陳列任何設(shè)施,不允許

  在房外、窗及門上掛曬衣物以影響房屋外觀面貌,該條件不得被不合理拒絕。

  Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.

  7.11 租客必須遵守物業(yè)條例準(zhǔn)則,如出現(xiàn)糾紛需與業(yè)主來協(xié)商調(diào)解。

  To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.

  八、 房屋不能居住時其他事件:

  Other things:

  房屋由于火災(zāi),惡劣天氣,戰(zhàn)爭或其它甲方不可抗拒因素,而不是

  因?yàn)橐曳街苯踊蜷g接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時,乙方從該日起停止支付租金,直至房屋可再被使用及居住時為止,如該房屋因任何不能歸因于乙方的原因不能正常使用超過10天,乙方有權(quán)終止合同并無需承擔(dān)任何責(zé)任,甲方應(yīng)退還剩余部分押金及預(yù)付租金。甲方根據(jù)自己的意愿及經(jīng)濟(jì)、實(shí)際意義等原因,沒有義務(wù)必須修繕復(fù)原房屋。若此情況發(fā)生,甲方應(yīng)書面通知乙方,并在作出上述通知的十天之內(nèi)將押金及預(yù)付租金全部退還乙方。

  If the leased property are substantially destroyed or damaged by fire, bad weather, war, force major, or other causes beyond the control of Party A and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, if the lessor’s property can not be properly used for any reasons beyond 10 days, Party B has the right to terminate the agreement without any
